§ 1 Scope
These Terms & Conditions apply to all contracts between Andreas Horhäuser (“Provider”, Independent Software) and consumers for the purchase of a software license for LUFS Converter Pro via the website horhaeuser.com. Conflicting terms of the customer are not accepted unless expressly agreed in writing.
§ 2 Contracting party and contact
Contracting party is Andreas Horhäuser, Holthausstr. 7, 58332 Schwelm, email: info@horhaeuser.com.
§ 3 Subject matter
The subject of the contract is the paid grant of a simple, non-exclusive, non-transferable right of use of the software LUFS Converter Pro (full version) for use on one Windows PC. The software is used for loudness normalization of audio files per EBU R128.
§ 4 Conclusion of contract
The presentation of the software on the website does not constitute a binding offer. By submitting the order form with the button “Order with obligation to pay”, you submit a binding offer to conclude a purchase contract. The contract is concluded when the Provider accepts the order by sending an order confirmation by email. The serial code is provided after payment is received.
§ 5 Prices and payment
The price stated at the time of order of 29,00 EUR for the single license applies. Gemäß § 19 UStG wird keine Umsatzsteuer berechnet. Payment is made by bank transfer or by paying online (card or pay app), if offered in the order form. For bank transfer, the customer must transfer the stated amount using the order number as the payment reference.
§ 6 Provision of the license
For online payment, the serial code is usually sent by email immediately after successful payment. For bank transfer, it is sent after payment is received. Activation is performed in the program under License → License management. The serial code is bound to the device ID provided by the customer and limited to one device.
§ 7 License terms
The customer may install and use the software on one Windows PC. The license is personal, non-transferable, and may not be shared. Serial codes must not be published, resold, or passed on to third parties. Simultaneous use on multiple devices is not permitted unless expressly agreed in writing.
§ 8 Updates and version entitlement
With the purchase of a license, you receive a lifetime right to use all updates and bug fixes within the major version you purchased (e.g. 3.0, 3.1 within 3.x). These updates are provided at no additional cost.
Customers who purchased a version 2.x license continue to receive free updates within the 2.x major version series (e.g. 2.0, 2.1, 2.2).
Version 3.x is sold separately. A separate purchase is required for version 3.x. There is no entitlement to free major-version upgrades from version 2.x to 3.x unless expressly agreed in writing. Serial codes from version 2.x are not valid in version 3.x. A stored activation from version 2.x does not entitle use of version 3.x – version 3.x must be activated separately.
§ 9 System requirements
Use requires a Windows PC meeting the system requirements stated on the product page. The customer is responsible for the suitability of their system. Before purchase, a trial version of LUFS Converter Pro can be downloaded for evaluation.
§ 10 Warranty
Statutory warranty rights apply. In case of defects, please contact info@horhaeuser.com.
§ 11 Liability
The Provider is fully liable for intent and gross negligence and for injury to life, body, or health. For slight negligence in breach of essential contractual obligations, liability is limited to foreseeable, typical contract damage. Otherwise, liability is excluded. Liability under product liability law remains unaffected.
§ 12 Right of withdrawal
Consumers have a statutory right of withdrawal. Details are set out in the Right of Withdrawal.
§ 13 Privacy
Information on the processing of personal data is provided in the Privacy Policy.
§ 14 Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the customer is a consumer, mandatory consumer protection provisions of the state of their habitual residence remain unaffected. Should individual provisions be invalid, the validity of the remaining provisions is unaffected.
